Terms of Service

These Terms of Service ("Terms") are a legal agreement between you ("you," "user") and The Salt Road, Inc. ("The Salt Road," "we," "us," "our"), a Delaware corporation, governing your use of our software applications and websites — including the Via Salaria Personal wallet app, the Via Salaria Business merchant app, and thesaltroad.io (collectively, the "Services"). By downloading, accessing, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. The Services — Non-Custodial Software
The Services are self-custodial (non-custodial) cryptocurrency wallet software and tools. This is the most important thing to understand:
- You alone control your funds and your keys. Your wallet's private keys and recovery phrase ("Secret Phrase") are generated on your device and stored, encrypted, locally on your device. We never receive or store them.
- We never take custody or control of your cryptocurrency or your keys. We cannot access, freeze, move, reverse, or recover your funds, and we manage no transactions on your behalf.
- We are a software provider — not a bank, broker, exchange, custodian, money services business, or money transmitter. We do not hold, transmit, or exchange money or value for you.
- Your cryptocurrency transactions occur directly on public blockchains between your wallet and other parties. We are not a party to those transactions.
2. Your Responsibility for Keys and Recovery Phrase
Because the Services are non-custodial:
- You are solely responsible for safeguarding your Secret Phrase, private keys, password, and PIN. Anyone who obtains them can take your funds.
- If you lose your Secret Phrase, we cannot recover it or your funds, and your funds will be permanently and irretrievably lost. There is no "forgot password" recovery for your wallet, and no customer-support path can restore lost keys.
- Your Secret Phrase lets you restore your wallet at any time using compatible software. If you do not keep a backup of it outside the Services, you may permanently lose access to your funds.
- You are responsible for keeping your device secure and your software up to date.
You acknowledge and accept these risks as a condition of using the Services.
3. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and legally able to enter into these Terms. You may not use the Services if:
- you are located in, or a resident, national, or entity organized under the laws of, any jurisdiction subject to comprehensive U.S. sanctions — including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine;
- you are on any U.S. government list of prohibited or restricted parties, including the U.S. Treasury Department's Office of Foreign Assets Control (OFAC) Specially Designated Nationals and Blocked Persons List, or any equivalent list of another relevant authority; or
- your use of the Services would otherwise be illegal under the laws of your jurisdiction.
You represent and warrant that none of the above applies to you.
4. Third-Party Services
The Services may let you access products operated by independent third parties — for example, fiat-to-crypto purchases (an on-ramp provider such as MoonPay) and cryptocurrency swaps/exchange (such as ChangeNOW). When you use these features:
- The third party — not The Salt Road — provides that service, performs any required identity verification (KYC/AML), holds the relevant licenses, and processes the transaction. Your use is governed by that third party's own terms and privacy policy, which you may be required to accept separately.
- We do not control, endorse, or assume responsibility for third-party services, their rates, their fees, their availability, or their handling of your information or funds. Any dispute regarding a third-party service is solely between you and that third party.
- Third-party transactions, once submitted, may be final and irreversible, and we have no ability to revise, rescind, or cancel them.
- Disclosure: a third-party provider may pay us a referral commission or revenue share when you use its service through the Services. This does not change the fees that provider charges you, which are disclosed to you within that provider's flow before you confirm.
5. Fees
Use of the wallet software itself may be free or subject to fees described in the Services. Merchant transactions processed through Via Salaria may be subject to a service fee, disclosed in the app. Third-party providers charge their own separate fees (for example, card-processing fees and exchange spreads), set by those providers and not by us. Blockchain network ("miner"/"gas") fees are charged by the relevant network, not by us, and are required to broadcast transactions. We do not guarantee that any fee is the lowest available, and we make no representation that the Services are cheaper than any alternative.
6. Rewards Program
The Via Salaria rewards program (including "Amphora" and "Leagues," or successor units) is a promotional loyalty feature. Reward units are not currency, securities, equity, or a financial instrument; have no cash or monetary value; are not redeemable for cash; and may be modified, suspended, or discontinued at any time. We may change reward rates, rules, and eligibility at our discretion.
7. Acceptable Use
You agree not to use the Services to: (a) violate any law or regulation; (b) facilitate money laundering, terrorist financing, fraud, or sanctions evasion; (c) infringe others' rights; (d) interfere with, reverse-engineer, or compromise the security of the Services (except where this restriction is prohibited by law); or (e) transact in connection with illegal goods or services. We may restrict or terminate access for suspected misuse.
8. No Financial, Investment, Tax, or Legal Advice; Taxes
The Services and any content we provide are for informational purposes only and are not financial, investment, tax, or legal advice. Cryptocurrency is volatile and you may lose value. You are solely responsible for determining and paying any taxes that apply to your use of the Services, and for any related reporting. Consult your own professional advisors.
9. Assumption of Risk
You understand and accept that: cryptocurrency values are volatile and may go to zero; blockchain transactions are final and cannot be reversed or cancelled once broadcast; sending crypto to an incorrect or incompatible address may cause permanent loss; blockchain networks, third-party services, and software may experience downtime, forks, protocol changes, bugs, or attacks; and the legal and regulatory treatment of cryptocurrency is uncertain and may change.
To the maximum extent permitted by law, you release us from, and agree we are not liable for, losses arising from: (a) your own errors, such as a forgotten password or Secret Phrase, a mistyped or incompatible address, or a misconfigured transaction; (b) device failure, server failure, or data loss; (c) unauthorized access to your wallet or device; (d) bugs, faults, or interruptions in the software or in any blockchain network; and (e) the acts or omissions of third parties. You use the Services at your own risk.
10. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND FREEDOM FROM COMPUTER VIRUS. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, TIMELY, OR ERROR-FREE, OR THAT ANY DEFECT WILL BE CORRECTED. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SALT ROAD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR CRYPTOCURRENCY OR FUNDS — INCLUDING LOSSES FROM LOST KEYS OR SECRET PHRASES, ERRONEOUS OR IRREVERSIBLE TRANSACTIONS, OR THIRD-PARTY SERVICES — ARISING FROM OR RELATING TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. EXCEPT WHERE PROHIBITED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). Because we never custody your funds, we are not responsible for any loss of funds within your control.
12. Indemnification
You agree to indemnify and hold harmless The Salt Road and its affiliates, and their officers, directors, employees, and agents, from any claims, losses, liabilities, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, your violation of any law or third-party right, or any taxes, fines, or penalties resulting from your failure to report or pay amounts you owe.
13. Time Limit on Claims
Any claim arising from or relating to the Services or these Terms must be brought within one (1) year after the basis for the claim first arises; otherwise it is permanently barred, except where applicable law requires a longer period.
14. Force Majeure
We are not liable for any failure or delay in providing the Services caused by events beyond our reasonable control, including: acts of God; natural disasters; war or civil unrest; governmental, regulatory, or sanctions-policy changes; changes to, forks of, attacks on, or failures of any blockchain or related protocol; outages of third-party services, networks, or infrastructure; and cyberattacks or hacking activity. Such events do not affect the validity of the remaining provisions of these Terms.
15. Privacy
Your use of the Services is also governed by our Privacy Policy at https://www.thesaltroad.io/privacy/ (and the Via Salaria Personal privacy notice at https://www.thesaltroad.io/privacy/amphora/), incorporated by reference.
16. User Content and Feedback
If you submit content through the Services — for example, store reviews, ratings, or feedback — you grant The Salt Road a worldwide, non-exclusive, royalty-free, sublicensable license to use, display, reproduce, and adapt that content in connection with operating and improving the Services. You represent that you have the rights to submit it and that it does not violate any law or third-party right. We may remove content at our discretion.
17. Changes to These Terms
We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date and, where appropriate, additional notice. Your continued use after changes take effect constitutes acceptance.
18. Termination
You may stop using the Services at any time. We may suspend or terminate access for any reason permitted by law, including violation of these Terms. Because the Services are non-custodial, your funds remain under your control — your Secret Phrase lets you access your wallet through compatible software even if your access to our apps ends.
19. Governing Law, Arbitration, and Class-Action Waiver
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules.
Binding individual arbitration. Except for claims that qualify for small-claims court, you and The Salt Road agree that any dispute arising from or relating to the Services or these Terms will be resolved by final and binding individual arbitration, administered by the American Arbitration Association (AAA) under its applicable rules, rather than in court.
Class-action and jury-trial waiver. You and The Salt Road agree that claims may be brought only on an individual basis, and not as a plaintiff or member of any class, collective, consolidated, or representative proceeding. You and The Salt Road waive any right to a jury trial.
30-day opt-out. You may opt out of this arbitration agreement by emailing us at info@thesaltroad.io within 30 days of first accepting these Terms, stating your name and intent to opt out. Opting out does not affect the other provisions of these Terms.
20. Miscellaneous
These Terms are the entire agreement between you and us regarding the Services and supersede prior agreements. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. There are no third-party beneficiaries. You may not assign these Terms; we may. We may provide notices to you through the Services or by other reasonable means.
